1. Acceptance and Modifications
1.1 Agreement to Terms
By accessing or using LeazePro Services, you confirm that:
- You are at least 18 years old and have the legal capacity to enter into this agreement
- You have read and understood these Terms and our Privacy Policy
- You agree to comply with all applicable laws and regulations
- All information you provide is accurate and complete
1.2 Modifications to Terms
We reserve the right to modify these Terms at any time. When we make changes:
- We will update the "Last updated" date at the top of these Terms
- For material changes, we will provide 30 days' notice via email or through our Services
- Your continued use after changes take effect constitutes acceptance
- If you disagree with changes, you must discontinue use of our Services

LeazePro is a comprehensive property management platform that facilitates:

- Lease Management: Digital lease creation, signing, and storage
- Maintenance Coordination: Request tracking and vendor management
- Financial Reporting: Income tracking, expense management, and tax reporting
2.2 Service Availability
We strive to maintain high service availability but cannot guarantee uninterrupted access:
- Services may be temporarily unavailable due to maintenance, updates, or technical issues
- We will provide advance notice of scheduled maintenance when possible
- Emergency maintenance may occur without prior notice
- Third-party service dependencies may affect availability
2.3 Service Evolution
We continuously improve our Services and may:

- Modify or discontinue existing features with reasonable notice

We may suspend or terminate accounts for:

- Fraudulent or suspicious activity
- Failure to complete required verification
- Non-payment of fees or disputes
- Abuse of our Services or other users
4. Acceptable Use Policy
4.1 Permitted Uses
You may use our Services for legitimate property management purposes:
- Managing residential or commercial rental properties
- Screening and communicating with prospective tenants
- Collecting rent and managing security deposits
- Coordinating maintenance and repairs
- Generating reports and tracking financial performance
4.2 Prohibited Activities
You must not use our Services for:
- Illegal Activities: Any purpose that violates federal, state, or local laws
- Discrimination: Illegal discrimination based on protected characteristics
- Fraud: Providing false information or engaging in deceptive practices
- Harassment: Threatening, abusing, or harassing other users
- Security Violations: Attempting to breach our security measures
- System Abuse: Overloading or attempting to disrupt our infrastructure
- Unauthorized Access: Accessing accounts or data without permission
4.3 Content Standards
All content you submit must be:
- Accurate and truthful
- Respectful and professional
- Free from illegal or harmful material
- Not infringing on third-party rights
- Compliant with fair housing laws
4.4 Enforcement
Violations of this policy may result in:

- Temporary or permanent account suspension

5. Fees, Payments, and Billing
5.1 Subscription Fees
- Billing Cycle: Monthly or annual subscription fees charged in advance
- Auto-Renewal: Subscriptions automatically renew unless cancelled
- Proration: Mid-cycle upgrades are prorated; downgrades take effect next cycle
- Free Trials: Limited time trials may convert to paid subscriptions
5.2 Transaction Fees
- Payment Processing: Fees for rent payments and other transactions
- ACH Transfers: Lower fees for bank transfers vs. credit cards
- International Payments: Additional fees may apply for cross-border transactions
- Failed Payments: Charges may apply for declined or returned payments
5.3 Payment Methods and Processing
- We accept major credit cards, debit cards, and ACH bank transfers
- Payment information is securely processed by certified payment processors
- You authorize us to charge your selected payment method
- Keep payment methods current to avoid service interruptions
5.4 Refunds and Cancellations
- Subscription Refunds: Generally non-refundable except as required by law
- Cancellation: Cancel anytime; access continues until end of billing period
- Dispute Resolution: Contact support for billing disputes within 60 days
- Exceptional Circumstances: Refunds may be considered for service outages

- Current users receive grandfathered pricing for their current plan

8. Account Termination and Suspension

- Cancellation takes effect at the end of your current billing period

8.2 Termination by LeazePro
We may suspend or terminate your account for:

- Legal Compliance: Required by law or regulatory authority
- Non-Payment: Failure to pay fees when due
- Fraudulent Activity: Suspected fraud or abuse
- Inactivity: Account dormant for extended period

8.3 Effect of Termination
Upon termination:
- Your right to access and use our Services immediately ends
- We may delete your account and data after a reasonable notice period
- Financial obligations survive termination
- Provisions that should reasonably survive termination remain in effect

10. Limitation of Liability

- Consequential Damages: Damages resulting from use or inability to use Services
- Incidental Damages: Costs of replacement services or cover
- Punitive Damages: Damages intended to punish rather than compensate
- Data Loss: Loss or corruption of data or information
10.2 Liability Cap
Our total liability for all claims arising from your use of our Services shall not exceed:
- The amount you paid to LeazePro in the 12 months preceding the claim, or
- $1,000, whichever is greater
10.3 Exceptions to Limitations
These limitations do not apply to:
- Liability that cannot be excluded by law
- Death or personal injury caused by our negligence
- Fraud or fraudulent misrepresentation
- Willful misconduct or gross negligence
10.4 Indemnification
You agree to indemnify and hold harmless LeazePro from claims arising from:
- Your violation of these Terms or applicable laws
- Your misuse of our Services
- Content you submit or actions you take
- Disputes with other users or third parties
11. Dispute Resolution
11.1 Informal Resolution
Before pursuing formal dispute resolution, we encourage you to:
- Contact our support team to discuss the issue
- Provide detailed information about your concern
- Allow us 30 days to investigate and respond
- Work with us in good faith to find a resolution
11.2 Binding Arbitration
If informal resolution fails, disputes will be resolved through binding arbitration:
- Administered by the American Arbitration Association (AAA)
- Conducted under AAA Commercial Arbitration Rules
- Single arbitrator selected through AAA procedures
- Location determined based on claim amount and convenience
- Arbitrator's decision is final and binding
11.3 Class Action Waiver
You agree that disputes will be resolved on an individual basis only:
- No class actions, mass arbitrations, or representative proceedings
- Claims cannot be joined or consolidated with others
- Arbitrator cannot award relief to anyone other than you
11.4 Exceptions to Arbitration
The following disputes are not subject to arbitration:
- Intellectual property infringement claims
- Small claims court matters within jurisdiction limits
- Injunctive or equitable relief requests
- Claims that cannot be arbitrated under applicable law
12. General Legal Provisions
12.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.
12.2 Severability
If any provision of these Terms is found unenforceable, the remainder shall remain in full force and effect, and the unenforceable provision shall be modified to be enforceable while preserving its intent.
12.3 Entire Agreement
These Terms, together with our Privacy Policy and any additional agreements, constitute the entire agreement between you and LeazePro regarding our Services.
12.4 Assignment
You may not assign or transfer your rights under these Terms. We may assign our rights and obligations to any party, including in connection with a merger, acquisition, or sale of assets.
12.5 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce such provision or any other provision in the future.
