Agreement Overview
These Terms of Service ("Terms") constitute a legally binding agreement between you and Leazepro Private Limited ("Leazepro," "we," "our," or "us") governing your access to and use of our rental property management platform, including our website, mobile applications, and all related services (collectively, the "Services").
Please read these Terms carefully. By creating an account, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms are an electronic contract under the Information Technology Act, 2000, and the Indian Contract Act, 1872.
1. Acceptance and Modifications
1.1 Agreement to Terms
By accessing or using Leazepro Services, you confirm that:
- You are at least 18 years old and have the legal capacity to enter into a binding contract under the Indian Contract Act, 1872
- You have read and understood these Terms and our Privacy Policy
- You agree to comply with all applicable central, state, and local laws of India
- All information you provide is accurate, current, and complete
1.2 Modifications to Terms
We reserve the right to modify these Terms at any time. When we make changes:
- We will update the "Last updated" date at the top of these Terms
- For material changes, we will provide 30 days' notice via email or through our Services
- Your continued use after changes take effect constitutes acceptance
- If you disagree with the changes, you must discontinue use of our Services
2. Service Description and Availability
2.1 Platform Overview
Leazepro is a B2B2C rental property management platform that facilitates:
- Property Management: Listing, tracking, and managing residential and commercial rental properties
- Tenant Management: Tenant onboarding, document collection, communication, and relationship management
- Rent Collection: Collecting rent and security deposits via UPI, NEFT, RTGS, IMPS, and other RBI-approved payment methods
- Lease Management: Digital lease creation, e-signing, storage, and renewal tracking
- Maintenance Coordination: Maintenance request tracking and vendor management
- Financial Reporting: Rent income tracking, expense management, GST-compliant receipt generation, and financial summaries
2.2 Platform Roles
Our platform serves the following user roles:
- Landlords: Property owners who subscribe to manage their rental portfolio, tenants, leases, and payments
- Tenants: Individuals who access the platform (via their landlord's account) to pay rent, raise maintenance requests, and manage their lease
- Property Managers: Agents or managers managing multiple properties on behalf of owners
2.3 Service Availability
- Services may be temporarily unavailable due to maintenance, updates, or technical issues
- We will provide advance notice of scheduled maintenance when possible
- Emergency maintenance may occur without prior notice
- Third-party service dependencies may affect availability
2.4 Service Evolution
- We may add new features and functionality at any time
- We may modify or discontinue existing features with reasonable notice
- We may update user interfaces and workflows
- We may integrate with additional third-party services
3. User Accounts and Responsibilities
3.1 Account Creation and Verification
To access our Services, you must create an account and agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Complete KYC (Know Your Customer) verification processes as required under applicable law
- Provide necessary documentation (Aadhaar, PAN, GST registration, property documents) for regulatory compliance
3.2 Account Security
- Choose a strong, unique password and enable two-factor authentication
- Keep login credentials confidential and do not share with others
- Monitor account activity and report suspicious behaviour immediately
- Log out from shared or public devices after use
- Accept full responsibility for all activities under your account
3.3 Account Types and Roles
- Landlord Accounts: Property management, tenant onboarding, rent collection, lease management
- Tenant Accounts: Rent payment, maintenance requests, lease management, document access
- Property Manager Accounts: Multi-property management on behalf of property owners
3.4 Account Suspension and Termination
We may suspend or terminate accounts for:
- Violation of these Terms or applicable laws
- Fraudulent or suspicious activity
- Failure to complete required KYC verification
- Non-payment of subscription fees or chargebacks
- Abuse of our Services or harassment of other users
4. Acceptable Use Policy
4.1 Permitted Uses
You may use our Services for legitimate property management purposes:
- Managing residential or commercial rental properties
- Onboarding and communicating with tenants
- Collecting rent and managing security deposits
- Coordinating maintenance and repairs
- Generating reports and tracking financial performance
4.2 Prohibited Activities
You must not use our Services for:
- Illegal Activities: Any purpose that violates central, state, or local laws of India, including the Indian Penal Code, IT Act, Transfer of Property Act, or RERA
- Discrimination: Unlawful discrimination against any person in violation of applicable law
- Fraud: Providing false information, misrepresenting rental terms, or engaging in deceptive practices
- Harassment: Threatening, abusing, or harassing landlords, tenants, or our staff
- Security Violations: Attempting to breach, circumvent, or test our security measures
- Unauthorised Access: Accessing accounts or data belonging to other users without permission
- Money Laundering: Using the platform to conduct or facilitate transactions that violate the Prevention of Money Laundering Act, 2002
4.3 Content Standards
All content you submit must be:
- Accurate and truthful
- Respectful and professional
- Free from illegal, obscene, or harmful material
- Not infringing on any third-party intellectual property rights
- Compliant with applicable tenancy and housing laws
4.4 Enforcement
Violations of this policy may result in:
- Content removal or modification
- Account warnings or restrictions
- Temporary or permanent account suspension
- Legal action and cooperation with law enforcement authorities
- Reporting to relevant regulatory or government authorities
5. Fees, Payments, and Billing
5.1 Subscription Fees
- Billing Cycle: Monthly subscription fees are charged in advance at the start of each billing period
- Auto-Renewal: Subscriptions automatically renew unless cancelled before the renewal date
- Proration: Mid-cycle upgrades are prorated; downgrades take effect at the start of the next billing cycle
- Free Tier: The Freemium plan is available without charge; features and property limits apply as specified in our pricing page
5.2 Goods and Services Tax (GST)
- All subscription fees are exclusive of applicable Goods and Services Tax (GST). GST will be charged at the applicable rate (currently 18% for software services / SaaS) over and above the subscription amount
- GST-registered landlords and businesses may be eligible to claim Input Tax Credit (ITC) on GST paid for our subscription services, subject to applicable GST rules
- We will issue GST-compliant tax invoices for all subscription payments

- Please provide your GSTIN in your account profile to receive B2B invoices with your GST details
5.3 Accepted Payment Methods
- We accept payments via UPI, NEFT, RTGS, IMPS, debit cards, and credit cards through RBI-authorised payment aggregators
- Payment information is securely processed by our payment partners and is not stored on our servers (payment data is localised as required by RBI guidelines)
- You authorise us to charge your selected payment method for all applicable fees
- Keep your payment method current to avoid service interruptions
5.4 Failed and Returned Payments
- In the event of a failed or declined payment, we will notify you and attempt to collect the due amount
- Repeated payment failures may result in suspension of your account pending payment
- Chargebacks or payment disputes raised in bad faith may result in account suspension and recovery proceedings
5.5 Refunds and Cancellations
- Subscription Refunds: Subscription fees are generally non-refundable once charged, except as required by applicable law or in exceptional circumstances at our sole discretion
- Cancellation: You may cancel your subscription at any time; access continues until the end of the current billing period
- Dispute Resolution: Contact our support team for billing disputes within 60 days of the charge date
- Service Outages: If our platform is unavailable for a prolonged period due to our fault, a pro-rated credit or refund may be considered on a case-by-case basis
5.6 Price Changes
- We may change subscription fees with 30 days' advance notice via email or through our Services
- Existing subscribers on a paid plan will receive at least 30 days' notice before any price change takes effect for their plan
- All fees displayed are in Indian Rupees (₹) and are exclusive of GST
6. Data Rights and Privacy
6.1 Privacy Policy Integration
Our Privacy Policy is incorporated by reference into these Terms and governs how we collect, use, and protect your personal information. By using our Services, you also agree to our Privacy Policy.
6.2 Data Ownership and Licence
- You retain ownership of data you upload to our Services
- You grant us a limited, non-exclusive licence to use your data solely to provide, maintain, and improve our Services
- We may use aggregated, anonymised data for analytics, research, and service improvement
- You may export your data at any time through our platform
6.3 Data Security and Backup
- We implement industry-standard security measures to protect your data as required under the IT Act, 2000
- Regular backups are performed to minimise the risk of data loss
- We recommend that you maintain your own copies of critical records (lease agreements, payment receipts) as an additional safeguard
6.4 Data Retention and Deletion
- We retain data as long as your account is active and as required by applicable Indian law
- Financial and GST records are retained for a minimum of 6 years (72 months) as required by the CGST Act, 2017
- You may request deletion of personal data subject to our legal retention obligations
- Deleted data may remain in encrypted backups for up to 90 days
7. Intellectual Property Rights
7.1 Our Intellectual Property
Leazepro and its Services are protected under the Indian Copyright Act, 1957, the Trade Marks Act, 1999, the Information Technology Act, 2000, and other applicable intellectual property laws:
- Software and Technology: All source code, algorithms, and technical innovations
- Trade Marks: The Leazepro name, logo, and all branded elements
- Content: Documentation, tutorials, and promotional materials
- Design: User interface designs, graphics, and visual elements
7.2 Licence to Use Our Services
We grant you a limited, non-exclusive, non-transferable, revocable licence to:
- Access and use our Services for their intended property management purpose
- Download our mobile applications for personal use on your devices
- Use our APIs strictly in accordance with our API terms
7.3 Your Content and Data
- You retain full ownership of content you create or upload (property photos, lease documents, etc.)
- You grant us a licence to store, process, and display your content within our Services to provide the platform functionality
- You represent that you have the right to upload and share the content you provide on our platform
7.4 Copyright Infringement Claims
We respect intellectual property rights and comply with the Indian Copyright Act, 1957, and the Information Technology Act, 2000. To report copyright infringement, contact us at admin@leazepro.com with:
- A description of the copyrighted work claimed to be infringed
- The location of the allegedly infringing material on our platform
- Your contact information
- A statement of good faith belief that the use is not authorised by the copyright owner or applicable law
8. Account Termination and Suspension
8.1 Termination by You
- You may cancel your account at any time through your account settings
- Cancellation takes effect at the end of your current billing period
- You remain responsible for all charges incurred before cancellation
- You may download and export your data before account closure through the platform
8.2 Termination by Leazepro
We may suspend or terminate your account for:
- Terms Violations: Breach of these Terms or our policies
- Legal Compliance: Required by law or order of a regulatory authority or court
- Non-Payment: Failure to pay applicable fees when due
- Fraudulent Activity: Suspected fraud, money laundering, or abuse
- Extended Inactivity: Account dormant for an extended period after prior notice
- Safety Concerns: Risk to our systems or other platform users
8.3 Effect of Termination
- Your right to access and use our Services immediately ends
- We may delete your account and data after a reasonable notice period, subject to legal retention obligations
- All outstanding financial obligations survive termination
- Provisions of these Terms that should reasonably survive termination (including intellectual property, limitation of liability, and dispute resolution) remain in effect

- We will provide notice and reason for suspension or termination when possible

- We will review appeals in good faith within a reasonable time
- Final decisions rest with Leazepro management
9. Warranties and Disclaimers
Important Legal Notice
The following disclaimers limit our liability. Please read carefully as they affect your legal rights.
9.1 "As Is" Service Provision
Our Services are provided "as is" and "as available" without warranties of any kind:
- We do not guarantee uninterrupted, error-free, or completely secure service
- Information provided through our Services may contain errors or be out of date
- Services may be temporarily unavailable for maintenance or technical reasons
- Services may not be compatible with all devices or software
9.2 Not Legal or Financial Advice
Leazepro is a property management technology platform and does not provide legal, financial, tax, or investment advice. You should independently verify:
- Compliance of your rental arrangements with applicable tenancy laws (including RERA, local rent control legislation, and Rent Agreement Act requirements)
- Your GST filing obligations as a landlord or property manager
- Income tax obligations on rental income
- Any stamp duty, registration, or other legal requirements for lease agreements
9.3 Third-Party Services
- We do not control or warrant third-party services or integrations
- Third-party service availability and functionality may change without notice
- Use of third-party services is subject to their own terms and policies
- We are not responsible for any failures or issues caused by third-party services
10. Limitation of Liability
10.1 Excluded Damages
To the maximum extent permitted by applicable Indian law, Leazepro Private Limited shall not be liable for:
- Indirect Damages: Loss of profits, revenue, or business opportunities
- Consequential Damages: Damages resulting from use or inability to use the Services
- Incidental Damages: Costs of replacement services or cover
- Data Loss: Loss or corruption of data or information stored on our platform
- Third-Party Disputes: Disputes between landlords and tenants, or any obligations under applicable tenancy law
10.2 Liability Cap
Our total aggregate liability for all claims arising from your use of our Services shall not exceed:
- The total amount you paid to Leazepro in the 12 months immediately preceding the claim, or
- ₹10,000 (Indian Rupees Ten Thousand), whichever is greater
10.3 Exceptions to Limitations
The above limitations do not apply to liability that cannot be excluded or limited under applicable Indian law, including:
- Death or personal injury caused by our negligence or wilful misconduct
- Fraud or fraudulent misrepresentation
- Consumer rights under the Consumer Protection Act, 2019 (where applicable)
10.4 Indemnification
You agree to indemnify and hold harmless Leazepro Private Limited, its directors, employees, and agents from and against any claims, losses, and expenses (including reasonable legal fees) arising from:
- Your violation of these Terms or applicable laws
- Your misuse of our Services
- Content you submit or actions you take on the platform
- Disputes between you and your landlords, tenants, or other third parties
11. Dispute Resolution
11.1 Informal Resolution
Before pursuing formal dispute resolution, we encourage you to:
- Contact our support team at admin@leazepro.com to discuss the issue
- Provide detailed information about your concern
- Allow us 30 days to investigate and respond
- Work with us in good faith to find a mutually acceptable resolution
11.2 Arbitration
If informal resolution fails, disputes shall be finally settled by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended):
- The seat and venue of arbitration shall be Ahmedabad, Gujarat, India
- The arbitration shall be conducted in the English language
- The arbitral tribunal shall consist of a sole arbitrator mutually agreed upon by the parties; failing agreement within 30 days, to be appointed in accordance with the Arbitration and Conciliation Act, 1996
- The arbitrator's award shall be final and binding on the parties
- The costs of arbitration shall be borne as determined by the arbitrator
11.3 Consumer Disputes
Nothing in these Terms limits the rights of consumers to approach the appropriate Consumer Disputes Redressal Commission (District, State, or National) under the Consumer Protection Act, 2019, where such rights are applicable. Tenants using the platform as consumers may avail of consumer dispute redressal mechanisms independently of the arbitration clause.
11.4 Exceptions to Arbitration
The following disputes are not subject to the arbitration clause:
- Claims for urgent interim or injunctive relief before a competent court
- Intellectual property infringement claims
- Consumer disputes under the Consumer Protection Act, 2019 (where the complainant opts for consumer forum)
- Claims that cannot be arbitrated under applicable Indian law
12. General Legal Provisions
12.1 Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of India. Subject to the arbitration clause above, the courts at Ahmedabad, Gujarat, India shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms or our Services.
12.2 Severability
If any provision of these Terms is found to be void, invalid, or unenforceable under applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remainder of these Terms shall continue in full force and effect.
12.3 Entire Agreement
These Terms, together with our Privacy Policy and any additional plan-specific or feature-specific agreements, constitute the entire agreement between you and Leazepro Private Limited regarding our Services and supersede all prior agreements, representations, and understandings.
12.4 Assignment
You may not assign, transfer, or sub-licence your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to any party, including in connection with a merger, acquisition, amalgamation, or sale of assets, subject to applicable law.
12.5 Waiver
Our failure or delay in enforcing any provision of these Terms shall not constitute a waiver of our right to enforce such provision or any other provision at a later time.
12.6 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, government orders, strikes, internet outages, or other force majeure events.
